Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement ("Agreement") establishes the terms for exchanging confidential information between ShuMuz Labs ("Disclosing Party") and the Client ("Receiving Party").

1. Definition of Confidential Information

"Confidential Information" means any proprietary information, technical data, trade secrets, architecture plans, source code, or business strategies disclosed by either party, whether in oral, written, or digital form.

2. Obligations of Receiving Party

  • To hold the Confidential Information in strict confidence.
  • Not to disclose such information to any third parties without prior written consent.
  • To use the Confidential Information solely for the purpose of evaluating or pursuing a business relationship.

3. Exclusions from Confidentiality

This Agreement does not apply to information that becomes publicly known through no wrongful act of the Receiving Party or is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

4. Term

The obligations of confidentiality under this Agreement shall remain in effect for a period of three (3) years from the date of disclosure.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws applicable to the jurisdiction of ShuMuz Labs.
